Welcome to AIXPERT TECH CO. LIMITED ("we", "us", or "our"). We operate the website https://aixperttools.com (hereinafter referred to as the "Site") and provide our automated agent software files, code packages, text prompts, resources, and documentation (collectively, the "Services" or "Skills").By accessing our Site or purchasing our Services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are prohibited from using our Site and Services.

1. Membership Tiers, Pricing, and Delivery

We offer distinct access tiers for our automation library. By subscribing or purchasing, you agree to the pricing and billing cycles associated with your choice:

• Standard Subscription Tier: Grants download access to entry-level automation and standard skill libraries.
• Advanced Subscription Tier: Grants download access to advanced business skill libraries and self-evolving AI prompt assets.
• Fixed-Term Full Pass: Grants a 24-month (2-year) full download and update pass to all advanced-level skill libraries.
• Long-Term Tier: Grants long-term download access to all present advanced features and all future skill updates.

All recurring monthly subscriptions will automatically renew until canceled by the user via their account settings. One-time purchase tiers do not automatically renew. All skills are delivered via direct digital download or access links.

2. "Fixed-Term" and "Long-Term" Pass Definitions

• Fixed-Term Pass: This pass is valid strictly for 24 consecutive months of skill library access starting from the date of purchase. Upon expiration, access to advanced skill updates and downloads will terminate unless the user renews under then-current rates.
• Long-Term Tier: This tier is explicitly defined as the commercial lifecycle of the automation product as operated and maintained by AIXPERT TECH CO. LIMITED. It does not refer to the biological lifespan of the user. If the product or skill library is discontinued due to market shifts or technological obsolescence, we will provide at least 30 days' notice, and no refunds or compensations will be owed beyond that point.

3. Refund and Cancellation Policy

Due to the digital, instantly downloadable, and copyable nature of our software files, code scripts, and prompt documentation:

• Monthly Subscriptions: Payments are non-refundable. You may cancel your subscription at any time, and you will retain access to download updates until the end of your current monthly billing period.
• One-Time Passes: Refund requests are only accepted within 24 hours of purchase, provided that no skill files or documentation packages have been downloaded from our platform. After 24 hours or once any download has initiated, these purchases are strictly non-refundable and non-transferable.

4. AI Performance and Execution Liability Disclaimer

Our Services consist of structured files (such as SKILL.md) and configuration scripts designed for Large Language Models (LLMs). You understand and explicitly agree that:

• The logic, text, prompts, and code snippets contained within our Skills are not guaranteed to be 100% accurate, error-free, or compatible with all AI environments.
• We only sell the skill assets themselves. We do not run your agents and are not liable for any direct, indirect, incidental, or consequential damages (including but not limited to loss of profits, data loss, API cost overruns, account bans on third-party platforms, or business interruption) resulting from how you deploy, run, or integrate these Skills into your own environments.
• You assume full responsibility for auditing and supervising any code or prompt action executed by the software files in your local or production environment.

5. Acceptable Use and Redistribution Restrictions

You are granted a limited, non-exclusive, non-transferable license to use the downloaded skills for your own personal or business operations. You explicitly agree not to:

• Resell, lease, redistribute, publicly share, or sub-license any downloaded SKILL.md files, scripts, or templates from our library.
• Use our skills to build a competing commercial AI skill marketplace or public repository.
• Modify our skills to distribute or execute activities that violate local, national, or international laws.

6. Intellectual Property Rights

Unless otherwise indicated, the Site, the proprietary metadata structures, the design of our framework, custom scripts, text prompts, and documentation are our proprietary property and are protected by copyright, trademark, and intellectual property laws of Hong Kong and international treaties.

7. Governing Law and Jurisdiction

These Terms and your use of the Site and Skills are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any legal action or dispute arising out of these Terms shall be submitted to the exclusive jurisdiction of the courts of Hong Kong.

8. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Major updates will be reflected by the "Last Updated" date at the top of this page. Your continued use of our Site after changes are posted constitutes your acceptance of the new Terms.
